1. Acceptance

These Terms of Service (“Terms”) govern your use of the website www.minordetails.com (the “Websites”), and the services offered by Minor Details Inc. (“Minor Details,” “we,” “our,” “us”). By accessing or using the Websites or Services, you signify your consent to these Terms.

2. Scope of Services

Minor Details provides music publishing administration services, including but not limited to registration of works, claiming of shares, matching of recordings, and collection of digital mechanical royalties from the Mechanical Licensing Collective. Specific services may be governed by separate publishing administration agreements.

3. Eligibility

You represent and warrant that you are of legal age and capacity to form a binding contract, and, if acting on behalf of an entity, that you are duly authorized to bind such entity.

4. User Obligations

You shall not:

• Provide false, misleading, or incomplete information.
  
• Interfere with or disrupt the Website, Services, or networks.
  
• Use the Services in violation of any applicable law or third-party rights.
  
• Attempt to gain unauthorized access to any accounts, systems, or data.
  

5. Intellectual Property

All content, software, data, trademarks, and other intellectual property appearing on or related to the Website and Services are the exclusive property of Minor Details or its licensors. No rights are granted except as expressly set forth herein.

6. Disclaimers

The Website and Services are provided “AS IS” and “AS AVAILABLE” without warranties of any kind, whether express, implied, statutory, or otherwise, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or accuracy.

7. Limitation of Liability

To the maximum extent permitted by law, Minor Details, its affiliates, officers, directors, employees, and agents shall not be liable for any indirect, incidental, consequential, punitive, or exemplary damages, including lost profits, arising from or in connection with the Services or Website. In no event shall our aggregate liability exceed the greater of USD $100 or the total net fees paid by you to Minor Details during the twelve (12) months preceding the claim.

8. Indemnification

You agree to indemnify, defend, and hold harmless Minor Details, its affiliates, officers, directors, employees, agents, successors, and assigns from and against all claims, liabilities, damages, costs, and expenses (including attorneys’ fees) arising out of:
(i) your breach of these Terms;
(ii) your works, metadata, or ownership representations;
(iii) your violation of applicable laws or third-party rights.

This obligation shall survive termination.

9. Termination

Minor Details reserves the right to suspend or terminate your access to the Website or Services at any time, with or without cause, and without liability.

10. Governing Law and Venue

These Terms shall be governed by the laws of the State of New York, without regard to conflict-of-law principles. Exclusive jurisdiction and venue shall lie in the state or federal courts located in New York, New York.

11. Miscellaneous

• These Terms and the Privacy Policy constitute the entire agreement between you and Minor Details.
  
• If any provision is held invalid, the remainder shall remain in effect.
  
• No waiver shall be deemed a further waiver of the same or any other term.
  
• These Terms may be amended at any time by posting a revised version on the Website.
